Terms of Service

These terms govern your use of the Specbook Orange website and application. Please read them carefully. By using the Service you agree to them. Specbook Orange is operated by BFN 21 Pty Ltd.
01 Agreement to these terms
These Terms of Service ("Terms") are a legal agreement between you and BFN 21 Pty Ltd (ABN 70 690 985 641, ACN 690 985 641) ("we", "us", "our"), the operator of Specbook Orange, and govern your access to and use of the Specbook Orange website and application (the "Service").
By creating an account, ticking the box to accept these Terms, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you are agreeing on behalf of a business, you confirm you are authorised to bind it.
02 The Service
Specbook Orange is a workflow for specifying and sourcing products: a reusable product library that becomes schedules, boards, quotes, purchase orders, budgets and invoices. We may add to, change or remove features from time to time.
03 Eligibility and accounts
You must be at least 18 and able to form a binding contract. You are responsible for the information you provide, for keeping your login credentials secure, and for all activity under your account. Notify us promptly at squeeze@specbookorange.com if you suspect any unauthorised use.
04 Free trial
We offer a 30-day free trial. No payment card is required to start the trial. There is no free tier: when the trial ends, you must subscribe to a paid plan to keep using the Service.
We do not charge you automatically when the trial ends. If you choose not to subscribe, your access pauses and we retain your content for a reasonable period so you can pick up where you left off if you subscribe later. We may change or withdraw trial offers at any time.
05 Subscriptions, billing and taxes
When you subscribe to a paid plan you provide a payment method and authorise us and our third-party payment processor to charge it. Paid plans are billed in advance and renew automatically for successive billing periods (monthly, unless you select a different billing period at checkout) at the price shown when you subscribe, and they continue until you cancel. The price, billing frequency and renewal terms are shown to you at checkout before you confirm.
Plans are priced on your team size and the price may change as your team changes; we will give you notice of any price change as required by law. Prices shown in Australian dollars include GST. Prices shown in US dollars exclude sales tax, which is added at checkout where it applies, and you are responsible for any other applicable taxes. Prices are charged in the currency shown at checkout; your bank or card issuer may apply currency-conversion or foreign-transaction fees, which are set by them, not us, and are your responsibility. If a payment fails we may retry it and may suspend the Service until it is resolved.
Plans described as "unlimited" (for example, unlimited members or unlimited guests) are subject to fair use. Very large teams may require a custom plan; contact us at squeeze@specbookorange.com.
06 Cancellation and refunds
You can cancel at any time from your account settings. When you cancel, your subscription stops renewing and you keep access until the end of your current billing period. Except where required by law (including the Australian Consumer Law), fees already paid are non-refundable and we do not provide refunds or credits for partial periods.
07 Your content and data
You retain all rights in the content and data you put into the Service ("Your Content"). You grant us a worldwide, non-exclusive licence to host, store, process, transmit and display Your Content solely to provide, secure and improve the Service and as you direct through its features (for example, sharing a board via a link).
You are responsible for Your Content and for having the rights and lawful basis to provide any personal information it contains, including your clients’, suppliers’ and team members’ information. Our handling of personal information is described in the Privacy Policy.
08 Acceptable use
You agree not to: use the Service unlawfully or for infringing, harmful, misleading or offensive content; upload malware; attempt to gain unauthorised access to the Service or to other users’ data; probe, scan or breach security; reverse engineer or copy the Service except as permitted by law; scrape or resell the Service; or use it in a way that overburdens or disrupts it.
09 Guests and shared links
The Service lets you invite clients, builders and suppliers as guests and share items via links, sometimes without a login. You are responsible for what you share and with whom, and for the accuracy of what you present. Anyone who accesses the Service through your workspace or a share link must comply with these Terms.
10 Our intellectual property
The Service, including its software, look and feel, and the Specbook Orange name and branding, is owned by us and our licensors and is protected by intellectual property laws. These Terms grant you only a limited, non-exclusive, non-transferable right to use the Service; they do not transfer any of our intellectual property to you. Any feedback you give us may be used without obligation to you.
11 Third-party services
The Service integrates with third-party services (for example, a third-party payment processor for payments and a third-party AI provider for product URL import). We are not responsible for third-party services, and your use of them may be subject to their own terms.
12 Availability, support and changes
We aim to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation, and we may carry out maintenance or change or discontinue features. We provide support on a reasonable-efforts basis via squeeze@specbookorange.com.
13 Warranties and disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law or other laws that cannot lawfully be excluded. Where our liability for failing to comply with such a guarantee can be limited, it is limited to re-supplying the Service or paying the cost of re-supply.
14 Limitation of liability
To the maximum extent permitted by law, we are not liable for any indirect, incidental, special or consequential loss, or for loss of profits, revenue, data or goodwill, arising out of or in connection with the Service. Our total aggregate liability arising out of or relating to the Service is limited to the amount you paid us for the Service in the 12 months before the event giving rise to the liability.
15 Indemnity
To the extent permitted by law, you agree to indemnify us against claims, losses and costs arising from Your Content, your use of the Service, or your breach of these Terms or of applicable law.
16 Suspension and termination
We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or others. You may stop using the Service and close your account at any time. On termination your right to use the Service ends; we will make Your Content available for export for a reasonable period where practicable, after which it may be deleted in the ordinary course.
17 Governing law and disputes
These Terms are governed by the laws of Western Australia, Australia. You and we submit to the non-exclusive jurisdiction of the courts of Western Australia. Nothing in this clause limits any rights you have under mandatory consumer laws in your place of residence.
18 Changes to these terms
We may update these Terms from time to time. We will post the updated version here and change the "last updated" date, and where changes are material we will take reasonable steps to notify you. If you continue to use the Service after the changes take effect, you accept the updated Terms.
